1. Acceptance of Terms

By checking the "I agree" box shown during account creation and clicking Sign Up, you affirmatively accept and agree to be bound by these Terms and Conditions and our Privacy Policy. Account creation is not permitted, and the Sign Up action will not proceed, unless this box has been checked. If you do not agree to these terms, do not check the box and do not use our services.

Where these Terms are updated in a manner that materially affects your rights or obligations, we will require existing users to re-accept the updated Terms, and will record the date and version accepted against your account, before continued use of the Service.

2. Description of Services

SGS Ecommerce provides software tools and professional services designed for e-commerce and marketplace sellers (including Amazon, Flipkart, and Meesho):

• Business Report Tools: Cloud-based utilities that process seller settlement files, sales data, ads reports, and cost sheets into formatted Excel workbooks containing SKU-level margins, listing diagnoses, and inventory forecasts.
• Competitor Price & Stock Tracker: Automated monitoring of public competitor product URLs and notification delivery via Telegram or web dashboard.
• Managed Marketplace Services: Consulting, catalogue management, ads optimization, and reconciliation services.

3. User Accounts & Security

When you register for an account on SGS Ecommerce:

• You must provide accurate, complete, and current information.
• You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
• You agree to notify us immediately of any unauthorized use of your account or security breach.

4. Marketplace Data & Acceptable Use

You agree to use SGS Ecommerce strictly for legitimate business management purposes:

• Authorized Ownership: You confirm that you have the full legal right and authorization to upload marketplace settlement and advertising data for the seller accounts you manage.
• No Reverse Engineering: You agree not to decompile, reverse-engineer, duplicate, or extract the algorithms, report calculation templates, scraping logic, or source code of our tools.
• No Automated Access to Our Platform: You agree not to use any robot, spider, scraper, crawler, or other automated means to access, extract data from, or monitor the Service (including the Report Portal, Price Tracker dashboard, or Billing app) without our prior express written permission.
• No Competitor Access: You may not access or use the Service if you are a direct competitor of SGS Ecommerce offering a substantially similar product, except with our prior written consent.
• Compliance with Marketplace Rules: You agree to comply with all applicable marketplace policies (such as Amazon's Seller Code of Conduct) when acting on insights generated by our tools.

4A. Competitor URL Monitoring — Your Responsibility

The Competitor Price & Stock Tracker allows you to submit third-party product URLs ("Monitored URLs") for automated monitoring. By submitting a Monitored URL, you represent and warrant that:

• The URL points to a publicly accessible product listing page that does not require login, payment, or credential-based access;
• You have a legitimate business reason to monitor the listing (e.g. it is a competitor, distributor, or reseller relevant to your own catalogue);
• You will not submit URLs intended to harass, surveil, or target an individual, or any page containing personal data about identifiable individuals;
• You are solely responsible for your use of any data returned from a Monitored URL, and for ensuring that such use complies with applicable law.

You hereby authorize SGS Ecommerce to access, via automated means, the Monitored URLs you submit, for the sole purpose of retrieving publicly displayed price, stock availability, rating, product/listing title, and seller-display-name information for your dashboard and alerts.

We reserve the right to refuse, suspend, or remove monitoring of any URL at our sole discretion, including where the source website has requested that monitoring cease, or where continued monitoring may expose SGS Ecommerce to legal or technical risk.

4B. Your Own Listing Data — Import & Responsibility

When you add or import a product to track, you may provide your own marketplace listing URL (Amazon, Flipkart, Meesho, Shopify, or other website) so that the Service can automatically populate your product's name, price, rating, and a single reference image for your own identification within the dashboard.

• This data belongs to you. The listing, product name, price, rating, and image imported through this feature are drawn exclusively from a listing that you own, operate, or are otherwise authorized to manage. SGS Ecommerce does not import or display competitor product images at any point in the Service.
• You are solely responsible for what you import. You represent and warrant that you have the right to list, sell, and advertise the product associated with any listing URL you import, and that doing so does not infringe any third party's intellectual property or other rights.
• Purpose of use. Data imported under this Section is used solely to identify and display your own product for comparison against publicly available competitor pricing, so that you may set and maintain a competitive price. This is a legitimate, standard business intelligence practice used throughout the e-commerce industry, and does not constitute unauthorized use of any marketplace's data or infrastructure.

5. Subscription Plans, Billing & Fair Use

SGS Ecommerce offers both free tier plans and paid subscriptions:

• Free Plans: Subject to monthly report quotas or URL tracking limits as described on the website.
• Paid Plans: Subscriptions are billed in advance on a recurring monthly or annual basis. You may cancel your subscription at any time via your account portal.
• Fair Use: Automated abuse, excessive query spamming, or circumventing plan limits may result in rate-limiting or account suspension.

6. Intellectual Property & Trademarks

All software, proprietary algorithms, report templates, visual layouts, and content on SGS Ecommerce are the exclusive intellectual property of SGS Ecommerce.

Such names are used solely for the purpose of accurately identifying and referring to the source of publicly available pricing and stock information, and for legitimate comparative purposes, in accordance with Section 30 of the Trade Marks Act, 1999. This use does not imply, and should not be construed as, any sponsorship, endorsement, affiliation with, or approval by the trademark owners of SGS Ecommerce or its services.

SGS Ecommerce does not use any third-party trademark or trade name in a manner that disparages the mark owner, creates confusion as to the commercial origin of the Service, or exceeds what is reasonably necessary to identify the referenced marketplace or store for comparison purposes.

7. Disclaimer of Warranties & Limitation of Liability

Our tools and recommendations are provided on an "AS IS" and "AS AVAILABLE" basis:

• While we make every effort to ensure accurate calculations and timely price alerts, we do not guarantee that third-party marketplace data feeds or scraping sources will be 100% error-free, current, or uninterrupted.
• No Guarantee of Detection or Alert Delivery: The Service checks Monitored URLs at intervals determined by your subscription plan. We do not guarantee that every competitor price change, stock change, or event will be detected, or that an alert will be generated or delivered for every such event. Delays, missed checks, or non-delivery of an alert (including due to Telegram, email, or other third-party notification channel outages) do not constitute a breach of these Terms.
• Service Availability: We aim for high uptime but do not guarantee uninterrupted access to the Report Portal, Price Tracker dashboard, or any other part of the Service. Planned maintenance, server issues, hosting provider outages, or force majeure events may cause temporary unavailability. No service-level uptime commitment is made on Free, Lite, or Starter plans; any uptime commitment for higher-tier plans will be set out separately in writing.
• Third-Party Websites: Monitored URLs point to websites we do not own, operate, or control. SGS Ecommerce makes no warranty regarding the accuracy, availability, or legality of content on any third-party website, and is not responsible for changes, blocks, or access restrictions imposed by such websites that interrupt monitoring.
• No Affiliation: Competitor pricing and stock data displayed through the Service is compiled solely from publicly available listings for comparison purposes. SGS Ecommerce is not affiliated with, sponsored by, or endorsed by any third-party store or marketplace referenced through the Service.
• SGS Ecommerce is not liable for any business decisions, pricing adjustments, inventory losses, missed sales, lost buy box position, or lost profits arising from the use of, or inability to use, our software, reports, or alerts, including where such loss results from a missed price/stock check, delayed alert, or Service downtime.

8. Governing Law & Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or related to these terms shall be subject to the exclusive jurisdiction of the competent courts in Mumbai, Maharashtra, India.

9. Limitation of Liability — Cap

To the maximum extent permitted by law, SGS Ecommerce's total aggregate liability arising out of or in connection with these Terms, for any cause whatsoever, shall not exceed the total fees paid by you to SGS Ecommerce in the three (3) months immediately preceding the event giving rise to the claim. In no event shall SGS Ecommerce be liable for any indirect, special, incidental, consequential, or punitive damages, including loss of profits, revenue, goodwill, or business opportunity.

10. Indemnification

You agree to defend, indemnify, and hold harmless SGS Ecommerce, its officers, employees, and affiliates from and against any claims, damages, liabilities, losses, costs, or expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms, including Section 4A; (c) any Monitored URL you submit, including any claim brought by the owner or operator of the website in question; (d) your violation of any applicable law or third-party right; or (e) any dispute between you and a third party arising from data obtained through the Service.

11. Data Sourcing Methods

SGS Ecommerce uses a combination of direct automated requests and third-party data-retrieval infrastructure to collect publicly available competitor information on your behalf. We do not access any website using credentials, bypass paywalls, or circumvent authentication systems. Where a target website restricts automated access, SGS Ecommerce may suspend monitoring of that specific listing without notice.
